Shell Sells Australian LNG Stake to Abu Dhabi’s XRG for $1.45 Billion

Shell has agreed to sell its 16.67% stake in Australia’s North West Shelf LNG project to Abu Dhabi’s XRG for $1.45 billion. The deal is a simple portfolio move: Shell is selling a minority, non-operated share in a mature gas project, while XRG is buying a foothold in Australian liquefied natural gas. Completion is expected in 2027, subject to approvals.

What happened

Shell Australia Pty Ltd, a wholly owned subsidiary of Shell plc, has signed an agreement to sell its 16.67% non-operated interest in the North West Shelf project. The interest will be acquired by wholly owned subsidiaries of XRG P.J.S.C. for a base consideration of US$1.45 billion, subject to customary adjustments, plus an additional milestone-linked contingent payment.

The transaction has an effective date of 1 January 2026 and is expected to close in 2027, subject to several conditions precedent, including regulatory approvals. AJ Bell reported that Shell agreed to sell its nearly 17% non-operated interest in the North West Shelf project for at least USD1.45 billion, while Securities.io reported the same base consideration and the expected 2027 completion.

What is the North West Shelf project?

The North West Shelf project is an LNG and domestic gas development in Western Australia. It comprises a number of interconnected joint ventures involving Woodside, Chevron, BP, Shell, MIMI and CNOOC. Shell’s interest includes associated upstream interests, pipeline and midstream infrastructure, and varying participating interests in related petroleum and pipeline titles, project agreements and offtake arrangements.

Declining production from the original North West Shelf fields has created capacity at the project’s Karratha Gas Plant. The project is moving to a mixed resource-production and third-party toll-processing business, which means it can also process gas owned by other parties for a fee.

Why is Shell selling?

Shell described the sale as a matter of disciplined capital allocation and portfolio choice. In plain terms, Shell is realising value from a mature, non-operated asset and focusing investment on advantaged integrated gas positions. Shell said it was proud of its role as a founding partner in the North West Shelf project and of the role the project has played in Western Australia.

The sale does not mean Shell is leaving Australian gas. Shell continues to invest in LNG and integrated gas globally and plans to grow LNG sales by 4-5% per year to 2030. In Australia, Shell operates the Shell QGC project and Prelude FLNG, is developing the Crux project, and is a joint venture partner in Arrow Energy and Gorgon.

Who is XRG?

XRG P.J.S.C. is an international energy investment company focused on building a global portfolio across natural gas, chemicals and energy solutions. It is the energy investment arm of Abu Dhabi National Oil Co, known as ADNOC. Buying Shell’s North West Shelf stake gives XRG exposure to an established Australian LNG project.

What to watch next

Investors should watch for regulatory approvals and confirmation that the deal closes in 2027. Other points to follow are the final adjusted price, any milestone payment, how Shell uses the proceeds, and how the North West Shelf project’s shift to third-party toll-processing develops. Energy earnings can move quickly, as shown in our report on Saudi Aramco profit jumping in Q3 2026.
